Stock Ledger Public Offer Agreement

1. General Provisions

ФОП Жук Ю.О., Компанія 'Stock Ledger' (hereinafter — "Contractor") offers any individual or legal entity (hereinafter — "Customer") to enter into this Public Offer Agreement (hereinafter — "Agreement") for providing access to the Stock Ledger online business management and operational accounting service.

This Agreement is a public offer in accordance with Article 633 of the Civil Code of Ukraine. Acceptance of the offer constitutes the Customer's registration on the website https://lite-trading.stock-ledger.com and/or payment for the Contractor's services.

From the moment of acceptance, the Agreement is considered concluded between the Contractor and the Customer.

2. Definitions

  • Service — the Stock Ledger online platform available at https://lite-trading.stock-ledger.com, providing business management, inventory and financial accounting.
  • Customer — an individual or legal entity who has accepted this offer.
  • Contractor — ФОП Жук Ю.О., Компанія 'Stock Ledger', providing access to the Service.
  • Account — the Customer's personal cabinet in the Service, accessible after registration.
  • Pricing Plan — a set of features and Service usage terms chosen by the Customer.

3. Subject of the Agreement

The Contractor undertakes to provide the Customer with access to the Stock Ledger Service in accordance with the Customer's chosen pricing plan, and the Customer undertakes to pay for the services in accordance with current rates (for paid plans).

The Service includes the following functionality (depending on the pricing plan):

  • Inventory management and warehouse tracking
  • POS operations and financial accounting
  • Analytics and financial reporting
  • Mobile barcode scanning
  • Multi-location management
  • Bank operations and statement import from Monobank and Privat24
  • Multi-currency accounting at the NBU exchange rate
  • Income ledger filled from the bank statement
  • Preparation and filing of the single-tax return and the unified social contribution report to the State Tax Service, signed with the customer's qualified e-signature — for customers registered in Ukraine

4. Agreement Conclusion Procedure

To conclude the Agreement, the Customer must:

  1. Read the terms of this Agreement.
  2. Register on the website https://lite-trading.stock-ledger.com by filling in the registration form with current information.
  3. Choose a pricing plan and make payment (for paid plans) through the LiqPay payment system.

Registration or payment constitutes full and unconditional acceptance of the terms of this Agreement.

5. Service Cost and Payment Procedure

The cost of services is determined in accordance with pricing plans published on the website:

  • Economy — 299 UAH/mo or 2,990 UAH/yr.
  • Maximum — 799 UAH/mo or 7,990 UAH/yr.

Every new Customer is granted a one-time free trial — 3 months of the Maximum plan at no charge. When the trial ends, the Customer chooses one of the pricing plans. If no plan is selected, access to the Service continues with minimal capabilities and the Customer's data is retained.

Payment is made monthly or annually (depending on the selected billing period) through the LiqPay payment system. The Contractor reserves the right to change tariffs with at least 30 days' notice to the Customer before new tariffs take effect.

Funds for the current paid period are not refunded. A cancellation or a downgrade takes effect from the next billing period: access under the paid plan remains until the end of the paid period, and the unused remainder is neither refunded nor carried over to future periods. The cases in which refunds are issued are set out in the "Refund Policy" section of the Terms of Use.

6. Rights and Obligations of the Parties

6.1. The Contractor undertakes to:

  • Provide access to the Service promptly after the payment is confirmed by the payment system.
  • Make reasonable efforts to keep the Service running. The Provider does not warrant uninterrupted or error-free operation.
  • Maintain the confidentiality of Customer data in accordance with the Privacy Policy.
  • Provide technical support upon Customer request.
  • Give the Customer advance notice of planned maintenance that may materially affect availability of the Service.

6.2. The Contractor has the right to:

  • Suspend access to the Service if the Customer violates the terms of this Agreement.
  • Make changes to the Service functionality with prior notice to the Customer.
  • Amend the terms of this Agreement by publishing a new version on the website.

6.3. The Customer undertakes to:

  • Provide accurate registration data and keep it up to date.
  • Timely pay for the Contractor's services in accordance with the chosen pricing plan.
  • Not transfer account access to third parties.
  • Not use the Service for purposes contrary to Ukrainian legislation.

6.4. The Customer has the right to:

  • Change the pricing plan at any time through account settings.
  • Terminate this Agreement by deleting the account or cancelling the subscription.
  • Request a refund in accordance with the conditions defined in the Terms of Service.

7. Liability of the Parties

The Contractor is responsible for the preservation of Customer data and Service availability in accordance with the terms of this Agreement.

The Contractor is not responsible for:

  • Indirect or consequential damages to the Customer, including lost profits.
  • Service failures caused by third parties or force majeure circumstances.
  • Data loss resulting from the Customer's violation of account security rules.

The Contractor's total liability under this Agreement may not exceed the amount paid by the Customer for the last 3 months of Service use.

8. Confidentiality

The procedure for processing and protecting the Customer's personal data is determined by the Privacy Policy, which is an integral part of this Agreement and is available at https://stock-ledger.com/privacy.html.

9. Term and Termination of the Agreement

The Agreement takes effect from the moment of acceptance and is valid indefinitely until terminated by either party.

The Customer may terminate the Agreement at any time by:

  • Cancelling the subscription through account settings.
  • Sending a written notice to hello@stock-ledger.com.

The Contractor may terminate the Agreement in case of systematic violation of its terms by the Customer, notifying the Customer 14 days in advance.

10. Dispute Resolution

All disputes and disagreements arising from this Agreement shall be resolved through negotiations. If no agreement is reached — through judicial proceedings in accordance with Ukrainian legislation at the Contractor's place of registration.

The provisions of the Ukrainian Law "On Consumer Protection" apply to relations between the Contractor and Customers who are individual consumers.

11. Amendments to the Agreement

The Contractor reserves the right to amend this Agreement. A new version of the Agreement takes effect 30 days after publication on the website. Continued use of the Service after the new version takes effect constitutes acceptance of the changes.
